Compensation reports

Pursuant to Section 162 of the German Stock Corporation Act (AktG), the Executive Board and Supervisory Board of the listed company prepare a clear and comprehensible report each year. 
The compensation report describes the basic features of the compensation system as well as the individual compensation of the current and former members of the Executive Board and the Supervisory Board of FUCH SE (formerly FUCHS PETROLUB SE).

Results of the resolutions of the Annual General Meeting

 

Compensation system for the Executive Board Members

The compensation system for the members of the Executive Board of FUCHS PETROLUB SE which had been resolved by the Supervisory Board was submitted for approval to the annual general meeting dated 4 May 2021 under item 6. The annual general meeting approved the compensation system with a majority of 88.93 % of the valid votes cast.

Compensation system for the Supervisory Board Members

The compensation system for the Supervisory Board members is regulated in Article 16 of the articles of association of FUCHS PETROLUB SE.

The annual general meeting dated 4 May 2021 passed a resolution according to article 113 para 3 German Stock Corporation Act (Aktiengesetz) under item 7 on the compensation system of the Supervisory Board members of FUCHS PETROLUB SE and on the amendment of article 16 of the articles of association. That resolution was passed with a majority of 99.79 % of the valid votes cast. The amended provision in article 16 of the articles of association will become effective with the registration of the commercial register.
